(Pan) platform for teaching Arabic. We connect students who want to learn Arabic and Arabic educational materials with teachers who speak Arabic; To help students learn, through live one-on-one and group conversation sessions.

This Agreement applies to students and teachers.

This Agreement includes the Pan website and mobile applications.

 

PLEASE READ THIS AGREEMENT CAREFULLY, BY ENTERING INTO THIS AGREEMENT; Because You are giving up your right to file a claim in court.

By accessing the Platform or registering for a user account, you acknowledge that you have read, understood and agree to be bound by this Agreement, if you do not agree to all of the terms and conditions of this Agreement, you may not access or use the Platform.

 Legal Capacity:

You may use the Platform only if you can enter into a binding contract with PAN.

- If you are a student you acknowledge that you are over 18 years, if under the age of 18 years, you may not use the platform unless it provides a legal parent or guardian consent to it.

If you are a teacher, you acknowledge that you are over (18) years old.

- if you are blocked by (PAN) from accessing the Site; You may not access or use the Site in any case.

- When using the Platform, you are subject to any additional posted guidelines or rules, such as the Guidelines.

Teachers may obtain some personal student details for the purposes of completing the educational process. The teacher is obligated to maintain this details in accordance with applicable laws and regulations.

 Amendment:

We may make some amendments to this Agreement. These changes will be effective for existing users. We will notify you of these changes through the user interface or by sending a message to your email associated with your pan account. this case, terminate the agreement and your use of the platform.

 Account registration and utilization:

- Student: Requires access to our services  creating an account on the platform through the website or application. Creating an account may require providing the following information: (user name and password, email address, your nationality and country of residence, contact number, your gender, and other information, related financial information with a payment card, and may be provided to a third party).

- Teacher: to use the basic system and to provide teaching services to students; The teacher must register and create an account through the site or application, and fill the induction file for the teacher, you may ask the teacher: (create a unique user name and password, provide an email address, the reference to the country of residence, the reference to the sex of the teacher, the account bank address of the teacher or paypal, etc.).

- You agree that the information you provide, it will be true, accurate, current and complete, you also agree that you will ensure to maintain the confidentiality of such information, accuracy and timeliness at all times.

- You are responsible for maintaining the confidentiality of your password and restrict access to your computer, and agree to accept responsibility for all activities that occur under your account, and bear all the losses that may occur as a result of the use of your account from someone else, if you have reason to believe that your account It is no longer safe and should be reported to us immediately.

- Minutes purchased by the student may only be used by the student himself, you agree not to share your username and password.

- Under no circumstances may the teacher allow other individuals to use his or her personal account or perform services on his behalf.

 Pan Connecting Platform:

We are an online marketplace that connects students with tutors, and does not provide tutoring services. By using Pan, you acknowledge that teachers are completely independent contractors from the site who provide their tutoring services through the site. The student must treat the teacher at all times as independent and the student has no right to Take any action inconsistent with this classification.

The teacher will provide all the requirements and materials he needs to perform the teaching services agreed upon with the student.

 Prohibitions:

- Access or use the Platform for any illegal or prohibited purpose.

-Use the Platform in any way that could damage, disable, overburden, or impair or interfere with any other party's use of the Platform, in our sole discretion.

-Damaging the platform by any means, such as spreading viruses, etc.

-remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Platform, or features that prevent or restrict the use or copying of any content accessible through the Platform, or features that impose restrictions on the use of the Platform;

- Attempting to gain unauthorized access to the Platform, or any part of it, other accounts, computer systems or networks connected to the Platform, or any part of it using illegal methods.

- Attempting to obtain any material or information through any means not intentionally made available through the Platform.

- Use of any robot or any other means of a mechanism to reach the platform.

-Use our trademark, logo, or content without permission.

-Modify the Platform in any way or form, or use modified versions of the    Platform

-Create more than one account, use another person's account without permission, or impersonate another person or entity.

-Violate the copyright, trade secret, or information or data of any third party related to the Platform

-Post commercial advertisements or offers of our own without our permission.

-Engage in conduct or dissemination of content that is defamatory, defamatory, abusive, threatening, harassing, hateful, obscene, abusive, insulting to other persons (publicly or otherwise), or otherwise violates any law or private right PAN or any third party contracting with us.

 Information and content you provide on the platform:

We retain ownership of all of your information and the content you provide on the Platform and may use it in accordance with the Privacy Policy.

 Suspension and cancellation of the account:

We have the right at any time to cancel or suspend your account if we believe that you have violated any of our terms in our discretion and we are not required to give reasons for that.

 License to use the platform:

-You have the right -After approval of the Privacy Policy and Terms and Alogam- use the platform for personal purposes not commercial, nor may you use a system that is not content in any other way without our permission to do so.

 Intellectual Property:

The basic idea of the platform and all its content, logo, educational materials, graphics, videos, visual interfaces and services are owned by (Pan), and you may not use it (sell, copy, replace, modify, distribute or transfer) without our permission.

 Educational sessions:

- Participation in our educational sessions requires hardware and software compatible with our system and the Internet, you are solely responsible for providing these requirements.

- These sessions are recorded and stored with us - including your photo - for the purposes of quality control, performance improvement and dispute resolution, as required, and for commercial purposes.

You not have right to record or save sessions in any way.

- The student and the teacher have the right to obtain a copy of the sessions after submitting a request to do so.

 qualification of teachers:

We do our best to provide the best teachers, but we do not guarantee any teacher in terms of quality and performance and we do not have to check their qualifications and experience, if you want to complain about any teacher, please contact us.

 Availability of teachers:

We guarantee the availability of tutors on the site 24 hours a day although we do our best to do so.

 Payments:

Students pay for the packages we offer, and can be paid by the minute Payment will be made through a third party payment system Package and minutes fees include taxes, service fees and transfer By registering for a payment plan and providing us with your payment account information, you sign up for a subscription Auto-renewal that requires recurring payments and you agree to pay the amount allotted to your payment plan on a renewal basis. Subscription renewal:

We will notify you about the end of your subscription four days before its end, and we will remind you (24) hours before the end of the subscription, you can cancel the subscription renewal, if you do not cancel, the subscription in the same package will be automatically renewed.

Purchased minutes and paid packages cannot be canceled, suspended or charged back.

 Deleting and modifying the content of the platform:

We have right to make any major changes to the Platform, discontinue or modify certain Services without prior notice, or discontinue any media or products.

 Third Party Links and Materials:

Pan may contain third party materials, we are not responsible for and do not endorse such materials, and the sharing of third party materials or content during an educational conversation by a teacher or student we do not endorse and are not under our responsibility.

Teacher Supplement

Additional terms and conditions that apply to the teacher.

In the event of a conflict between these terms and the previous terms, the terms of this appendix shall prevail.

 

 General Conditions:

1- The teacher is an independent contractor, not our employee, agent, joint venture or partner.

2- Our platform has the sole mission of connecting the teacher and the student.

3- The teacher is responsible for all taxes and insurances related to it, and we have nothing to do with this, and the teacher must comply with local laws in this regard.

4- The teacher is responsible for providing the supplies needed to connect to the site, such as hardware, software, internet service provider, and so on.

5- The teacher's services that he provides on-site must meet high quality standards.

6- The teacher must comply with the terms, conditions and instructions provided by (PAN).

7- The teacher has no right to urge students to leave (Pan) or promote other sites, or try to communicate with our students outside the site.

8- The teacher is not entitled to promote himself for the performance of educational services or for any other reason, or to promote another platform or any brand within the Pan site or during the educational conversation.

9- The Instructor shall not transact business, assume obligations, sell goods, receive payments, order orders, or assign or create any obligation of any kind, express or implied, on our behalf.

 Payment:

- (Pan) pays the teacher the amount of (3) dollars per hour, equivalent to: (0.05) per minute.

- The teacher is paid on a monthly basis, as a maximum, if the teacher’s total dues are (20) dollars or more.

If the teacher’s total dues are less than (20) dollars, the payment will be within a maximum of three months.

- All payment terms and conditions are subject to your applicable agreements with the third-party payment system.

 Ownership:

Instructor agrees that all files, documents, letters, memos, reports, records, data, drawings, drawings, forms, lab notebooks, lists of software, equipment, computers, computer software, or other written or photographic files, curricula or articles Literary is the exclusive property of (Pan) whether it was created by (Pan) or the teacher or any other party, and the teacher is not entitled to use it except for the students of Pan within the site, and may not benefit from it in any way except with the permission of (Pan), and the teacher may not Retain any of the above, and in the event of termination of the contract or discontinuation of services, the teacher must hand over everything in his possession to (pan) and not keep any other copies.

 Student Details:

The Teacher understands that in the course of providing or providing Teacher Services to Students, the Teacher may obtain personal information from Students, including but not limited to: access to session recordings, student age, geographic location, occupation, language abilities, instructional skills, and other That said, the Teacher agrees that it will only access, use, or process Student Data solely to provide the teacher's services, and the teacher must maintain the security of such information as required by applicable law, and the teacher bears legal responsibility if this details is compromised in any way.

 Teacher Information:

Pan may use the teacher's name, photo, promotional video, profile information and other information provided, and educational conversations, without review, permission or compensation, and Pan may use this information for commercial and advertising purposes, and for supervision, evaluation and development requirements.

 Children:

The teacher must know the laws of the protection of children on the Internet in force in each country and comply with those laws.

 Violation of terms and conditions:

The teacher acknowledges that he will be subject to serious claims in the event of a breach of any of the foregoing.

 Amendments:

We may make some modifications to this Agreement. These changes will be effective for existing users. We will notify you of these changes through the user interface or by sending a message to your email associated with your pan account.
